Terms of Service

Draft notice. This document is a starting template based on common US/Puerto Rico ticketing-platform patterns. It is not legal advice and must be reviewed by a Puerto Rico–licensed attorney before it takes effect. Replace this notice once your counsel has signed off.

These Terms of Service ("Terms") govern your use of the Puerto Rico Cycling ticketing platform (the "Platform") operated by Puerto Rico Cycling ("we," "us," "our"). By accessing the Platform, creating an account, listing an event, or purchasing a ticket, you agree to be bound by these Terms.

1. Eligibility

You must be at least eighteen (18) years old and able to form a legally binding contract under the laws of the Commonwealth of Puerto Rico to use the Platform. If you are using the Platform on behalf of a business or other organization, you represent that you have the authority to bind that entity to these Terms.

2. Account Registration

Event organizers must create an account to list events. You agree to provide accurate, current, and complete information and to keep that information up to date. You are responsible for safeguarding your credentials and for all activity under your account.

3. The Platform

The Platform is an online service that allows event organizers to publish events, sell tickets, and manage registrations, and allows buyers to discover events and register or purchase tickets. We are not the seller of any ticket or the host of any event; we provide the technology that connects organizers and buyers.

4. Organizer Responsibilities

If you list an event, you alone are responsible for:

  • The lawfulness, accuracy, and completeness of all event information, including dates, venue, capacity, pricing, and policies.
  • Honoring tickets you sell and operating the event consistent with your description.
  • Setting and honoring your own refund, transfer, and cancellation policy, in addition to the Platform Refund Policy.
  • Complying with all applicable laws, including the Puerto Rico Department of Consumer Affairs (DACO) regulations, tax laws, venue permits, accessibility requirements, and any rules specific to the type of event.
  • Receiving and remitting any taxes owed on ticket sales.

5. Buyer Responsibilities

When you purchase or claim a ticket you agree to:

  • Provide accurate registration information for each attendee.
  • Use a valid payment method and pay the listed price plus any service or transaction fees.
  • Comply with the organizer's published rules and any venue policies.

6. Payments

Payments are processed by third-party providers — currently Stripe, Inc. (card payments) and ATH Móvil / Evertec (mobile payments in Puerto Rico). By paying through the Platform you also agree to the applicable provider's terms. Service and transaction fees are disclosed before checkout and are paid to the providers and to the Platform; these fees are generally non-refundable even when a ticket is refunded.

7. Refunds

Refund eligibility is governed by our Refund Policy and any additional policy posted by the event organizer. Where the two conflict, the policy more favorable to the buyer governs except that no policy can override applicable law.

8. Prohibited Conduct

You may not:

  • Use the Platform to commit fraud, sell counterfeit or duplicated tickets, or list an event you are not authorized to operate.
  • Resell tickets in violation of applicable Puerto Rico anti-scalping laws.
  • Scrape, reverse engineer, or interfere with the Platform's operation.
  • Upload content that is illegal, infringes intellectual property rights, is defamatory, or discriminates on a protected basis.
  • Misrepresent your identity or use the Platform to harass any user.

We may suspend or terminate accounts that violate this section.

9. Content and Intellectual Property

You retain ownership of the event information, images, and other content you upload, but grant the Platform a worldwide, non-exclusive, royalty-free license to host, display, and distribute that content solely to operate the Platform. The Platform name, logo, and software remain our property.

10. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, secure, or error-free.

11. Limitation of Liability

To the maximum extent permitted by law, neither we nor our affiliates will be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or loss of goodwill, arising from your use of the Platform. Our total liability to you for any claim related to the Platform will not exceed the greater of (a) the fees you paid to us in the twelve (12) months preceding the claim, or (b) one hundred US dollars (US$100.00). Some jurisdictions do not permit certain limitations; in those jurisdictions our liability is limited to the maximum extent permitted.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Platform, your violation of these Terms, or your violation of any third-party right.

13. Termination

You may close your account at any time. We may suspend or terminate your access to the Platform if you violate these Terms or if we are required to do so by law. Sections that by their nature should survive termination (including Sections 9–12 and 14–17) survive.

14. Changes to the Terms

We may update these Terms from time to time. The "Last updated" date above reflects the most recent change. Material changes will be communicated via email to account holders or through the Platform. Continued use of the Platform after a change constitutes acceptance of the revised Terms.

15. Governing Law and Venue

These Terms are governed by the laws of the Commonwealth of Puerto Rico, without regard to its conflict-of-laws principles. Any dispute arising under these Terms will be resolved in the courts located in San Juan, Puerto Rico, and you consent to personal jurisdiction there. If you are a US-based consumer, you may also have rights under the laws of your state of residence; nothing in these Terms waives those rights.

16. Dispute Resolution

Before filing any formal claim, you agree to contact us at the address below and attempt to resolve the dispute informally for at least thirty (30) days.

17. Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver. These Terms, together with the Privacy Policy and Refund Policy, are the entire agreement between you and us regarding the Platform.
